This Sponsorship Agreement (“Agreement”) is entered into between Loanmind, LLC (“Loanmind,” “we,” “us”), which operates the Florida Luxury Lending website (the “Website”), and the individual or business identified in the sponsor reservation submission (“Sponsor,” “you”), effective as of the date Sponsor completes payment for the sponsorship package described below (the “Effective Date”).

Loanmind grants Sponsor the exclusive “Featured Lender” placement (each, a “Placement”) on each of the loan program pages selected by Sponsor at checkout, in the number covered by the package Sponsor purchased: one (1) page, five (5) pages or ten (10) pages. All pages in a package must be in the same city. The ten-page package covers all ten loan program pages in the selected city. While this Agreement is in effect, Loanmind will not display any other Featured Lender placement on a page covered by Sponsor’s package.

Each Placement includes (a) a banner at the top of the page showing Sponsor’s company name, slogan, optional icon and a button linking to Sponsor’s website, and (b) a spotlight lower on the page showing the name, photo and short biography of one individual designated by Sponsor, with a contact button linking to Sponsor’s website, in the format Loanmind uses for these placements. Loanmind controls the layout, design and operation of the Website and may change them from time to time.

The exclusivity applies only to the Featured Lender placement on the pages covered by Sponsor’s package. It does not apply to any other page, city or type of sponsorship, and it does not limit Loanmind’s other sponsorship programs.

This Agreement begins on the Effective Date and continues month to month. It renews automatically each month until canceled as described in Section 7.

Sponsor may cancel at any time, for any reason, with no penalty and no cancellation fee. Sponsor has no commitment of any kind other than the monthly period already paid for.

The introductory prices for the packages as of the Effective Date are: one page, $100.00 per month; five pages, $400.00 per month; ten pages, $600.00 per month. Pricing may vary by city and may change as described below.

Sponsor’s monthly price is fixed at the price in effect on the Effective Date through March 31, 2027. Pricing is subject to change on or after April 1, 2027, and the then-current price for the package, which may differ by city, will apply from that date. Loanmind will give Sponsor at least thirty (30) days’ notice, by email to the address provided at checkout, before any price change takes effect. Sponsor may cancel before the new price applies.

• Sponsorship fee: the monthly price of the package Sponsor purchased, billed automatically to the payment method provided at checkout.
• Payment is processed through Stripe, a third-party payment processor. Loanmind does not store or have access to Sponsor’s full payment card details.
• Fees are billed in advance of each monthly period. Billing begins when payment is completed, whether or not Sponsor’s materials have been delivered yet.
• Fees are non-refundable, including for partial months, except as stated in this Section and except as required by law.
• Availability and refunds. Page Placements are exclusive and are awarded to the first sponsor to complete payment. Because the Website may not yet reflect a very recent reservation, a page shown as open may already have been reserved. If one or more of the pages Sponsor selected was reserved by another sponsor before Sponsor’s payment was completed, Loanmind will, within forty-eight (48) hours, offer Sponsor open pages in the same city as substitutes. If Sponsor declines the substitutes, or if the package cannot otherwise be fulfilled, Loanmind will refund Sponsor’s payment in full.
• If a payment fails, Loanmind may suspend or remove the Placements until payment is completed.

Sponsor is responsible for providing all content for the Placements, including company name, slogan, icon or logo, website address, and the name, photo and biography of the designated individual, and any other text or images (“Sponsor Content”). Unless Sponsor asks otherwise, the same Sponsor Content is used on every page in Sponsor’s package. Sponsor grants Loanmind a non-exclusive, royalty-free license to use, reproduce and display the Sponsor Content on the Website and in related promotion of the Placements for as long as this Agreement is in effect. Sponsor represents and warrants that it owns or has the necessary rights, including the right to use the name, image and likeness of every person shown, to grant this license, and that the Sponsor Content does not infringe any third party’s intellectual property or other rights.

Sponsor represents that statements in the Sponsor Content are truthful and that Sponsor can substantiate them. This includes any ranking or superlative claim, such as “#1” or “best.”

Loanmind builds and publishes the Placements from the materials Sponsor provides. Loanmind expects to publish them within forty-eight (48) hours after receiving complete materials, but this is a target, not a guarantee. Loanmind may adjust Sponsor Content for length, formatting or image size. Loanmind may, in its sole discretion, reject, remove or request changes to any Sponsor Content that it reasonably believes is false, misleading, unlawful, discriminatory, or inconsistent with its brand or with applicable advertising regulations.

Sponsor is solely responsible for ensuring that its business, advertising and Sponsor Content comply with all applicable federal, state and local laws and regulations, including licensing, advertising and disclosure requirements for mortgage and lending businesses. Sponsor Content must not state interest rates, annual percentage rates or other loan terms unless Sponsor includes every disclosure that the law requires. Loanmind does not verify Sponsor’s license status on an ongoing basis and makes no representation about Sponsor’s qualifications, licensure or standing.

• Sponsor may cancel this Agreement at any time through the Stripe customer portal link provided, or by written notice (email) to Loanmind. Cancellation takes effect at the end of the then-current monthly billing period. No partial-month refunds will be issued.
• Loanmind may suspend or terminate the Placements at any time, with or without cause, including for non-payment, violation of Section 5 or 6, or conduct that Loanmind reasonably believes harms its brand or users. Where practical, Loanmind will give notice of removal for cause.
• On cancellation or termination, the Placements will be removed and the pages will become available for reservation by other sponsors.

Loanmind makes no representation or guarantee about the number of views, clicks, inquiries, leads, applications or any other business result that may come from the Placements. Sponsorship fees are for advertising placement only and are not contingent on performance.

This Agreement is an advertising arrangement only. Nothing in it creates a partnership, joint venture, agency, employment or referral relationship between Loanmind and Sponsor. The sponsorship fee is a fixed advertising fee. It is not based on, and is not contingent on, any lead, referral, application, transaction or closing, and nothing in this Agreement requires Sponsor to refer business to Loanmind or Loanmind to refer any person to Sponsor. Loanmind is not a lender, mortgage broker or loan originator and does not arrange, negotiate or make loans. A Placement is not an endorsement, recommendation or referral of Sponsor by Loanmind. The Website’s guides and content remain independent of any sponsor relationship.

To the fullest extent permitted by law, Loanmind’s total liability arising out of or related to this Agreement will not exceed the total fees paid by Sponsor to Loanmind in the three (3) months before the claim. In no event will Loanmind be liable for indirect, incidental, special or consequential damages, including lost profits or lost business opportunities, arising from this Agreement or the Placements.

Sponsor agrees to indemnify and hold harmless Loanmind, its owner and its representatives from any claims, damages or expenses (including reasonable attorneys’ fees) arising from the Sponsor Content, Sponsor’s business practices or Sponsor’s breach of this Agreement.

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

This Agreement, together with the reservation details Sponsor submitted at checkout and the Florida Luxury Lending Terms of Service and Privacy Policy, is the entire agreement between the parties about the Placements and replaces any prior understanding. Loanmind may update this Agreement from time to time. Loanmind will give Sponsor notice of any update, and continued sponsorship after that notice means Sponsor accepts the revised terms.

By completing payment for a sponsorship package, Sponsor confirms that it has read, understands and agrees to be bound by this Agreement.
